ALLURE SRLS, with registered office in Osnago (LC), via Trieste 22, Italian tax code and VAT no. 04250570134, registered with the Como-Lecco Companies Register, PEC allure-srls@pec.it<\/i>, provides clients with a personalised wedding planning consultancy service under the following contractual conditions. <\/p>

ART. 1 \u2013 SUBJECT MATTER OF THE AGREEMENT<\/b><\/p>

1.1 The purpose of this Agreement is the provision of a personalised wedding planning consultancy service (hereinafter, the \u201cService<\/b>\u201d), through which ALLURE SRLS\u2014upon payment of the fee indicated on the website and confirmed at the time of purchase, and without any subordinate relationship\u2014makes available its expertise and experience in the events sector, in order to propose customised solutions suitable for the Client\u2019s needs.<\/p>

1.2 This Agreement shall in no event be construed as an employment contract, quasi-employment contract, staff leasing agreement, agency agreement, brokerage agreement, or partnership.<\/p>

1.3 It is expressly excluded that the Service includes coaching and\/or mentoring activities.<\/p>

1.4 The Consultancy Service shall be provided via video call (through the web-conference platform designated from time to time by ALLURE SRLS<\/strong>, also in accordance with the Client\u2019s needs) and shall have a maximum duration corresponding to the purchased package (1 hour \/ 5 hours \/ 10 hours).<\/p>

1.5 If, at the sole discretion of ALLURE SRLS<\/strong> and\/or due to exceptional circumstances arising during the provision of the Service, the aforementioned duration is deemed insufficient, the Parties may agree to extend the Service by scheduling additional video calls, each lasting no more than one hour.<\/p>

ART. 2 – CONSULTANCY DATE<\/b><\/p>

2.1 To enable the provision of the Service, the Client undertakes to agree with ALLURE SRLS<\/strong> the date and time of the scheduled video call(s).<\/p>

2.2. 2.2 Any change to the agreed date and\/or time must be communicated by either Party at least 24 hours before the scheduled Service. Communications received after such deadline shall be evaluated by ALLURE SRLS<\/strong> at its sole discretion, without any obligation to reschedule. <\/p>

ART. 3 \u2013 <\/b>OBLIGATIONS AND LIABILITY OF ALLURE SRLS<\/b><\/p>

3.1 The provision of the Service relies exclusively on the information regarding the Client\u2019s activities, plans and needs provided to ALLURE SRLS. ALLURE SRLS<\/strong> shall not be held liable for deficiencies, errors, or omissions in the performance of the Service arising from incomplete, incorrect or omitted information supplied by the Client. <\/p>

3.2 The Client warrants the truthfulness and completeness of the data and information provided to ALLURE SRLS for the performance of the Service and assumes sole responsibility therefor.<\/p>

3.3 The Client acknowledges that the use of the Service is at the Client\u2019s sole risk and that ALLURE SRLS<\/strong> undertakes only a best-efforts obligation (obbligazione di mezzi), not an obligation to achieve a specific result.<\/p>

3.4 In particular, ALLURE SRLS<\/strong> does not guarantee and the Client releases ALLURE SRLS, to the fullest extent permitted by law, from liability relating to:<\/p>

  • any interruptions, delays, technical failures or connection issues not attributable to wilful misconduct or gross negligence of ALLURE SRLS<\/strong>;<\/li>
  • the absolute correspondence of the Service to the Client\u2019s personal tastes or subjective expectations;<\/li>
  • the achievement of specific economic, professional, or organisational results by the Client.<\/li><\/ul>

    3.5 Once all purchased consultancy hours have been delivered, the Service shall be deemed duly performed. Any comments or claims must be submitted in writing by the Client within seven days of the last consultancy session. <\/p>

    ART. 4 \u2013 CLIENT OBLIGATIONS, CONTRACT FORMATION AND PAYMENT<\/b><\/p>

    4.1 The presentation of the Service on the website or on ALLURE SRLS<\/strong> mobile applications constitutes an invitation to make an offer.<\/p>

    4.2. 4.2. By clicking the \u201cProceed to Payment\u201d button and submitting the relevant form<\/i> duly completed, the Client declares to have read and accepted these Terms of Service and submits a contractual proposal to ALLURE SRLS<\/strong><\/strong> for the purchase of the Service.<\/p>

    4.3 The Client undertakes to provide all information necessary for the proper identification of the consultancy subject matter. <\/p>

    4.4. 4.4 ALLURE SRLS <\/strong>may accept or refuse the Client\u2019s proposal at its discretion, without any obligation to provide reasons for refusal. In case of acceptance, ALLURE SRLS<\/strong> shall send the Client a confirmation e-mail containing a summary of the purchased Service and confirmation of the charge via the selected payment method. <\/p>

    4.5. 4.5. The confirmation e-mail constitutes acceptance of the Client\u2019s proposal and results in the formation of a binding agreement between the Client and ALLURE SRLS.<\/strong><\/p>

    4.6. 4.6. The Client shall pay the full fee in advance using the payment methods available on www.allureitalianexperience.com. Upon receipt of payment, ALLURE SRLS <\/i>shall issue and electronically deliver the related tax documentation. The Client accepts to receive invoices in electronic format at the e-mail address provided at the time of purchase. <\/p>

    4.7. 4.7. In case of non-payment or late payment, ALLURE SRLS<\/strong> may suspend the provision of the Service pursuant to Art. 1460 of the Italian Civil Code and, should the breach persist for more than fourteen (14) days beyond the due date, the Client shall lose the benefit of the term pursuant to Art. 1186 of the Italian Civil Code, entitling ALLURE SRLS to demand immediate payment of the entire outstanding amount. <\/p>

    ART. 5 – TAXES AND DUTIES<\/b><\/p>

    5.1 All taxes, duties and charges applicable to agreements governed by these Terms of Service shall be borne by the Client, unless otherwise provided by law.<\/p>

    5.2. 5.2. Any registration costs of the Agreement, where applicable, shall be borne exclusively by the Party whose conduct has made such registration necessary.<\/p>

    ART. 6 – EXPRESS TERMINATION CLAUSE <\/b><\/p>

    6.1. 6.1. Pursuant to and for the purposes of Art. 1456 of the Italian Civil Code, ALLURE SRLS may terminate the Agreement by simple written notice to the Client in the event of breach by the latter of any of the obligations set out in Articles 2, 4 or 5 of these Terms of Service. <\/p>

    ART. 7 – <\/b>INTELLECTUAL PROPERTY<\/b><\/p>

    7.1. 7.1. Any materials, documents, diagrams, templates, operational guides or other content provided by ALLURE SRLS during or in connection with the Service shall remain the exclusive intellectual property of ALLURE SRLS.<\/p>

    7.2. 7.2. The Client is granted a personal, non-transferable right of use solely for private and non-commercial purposes and shall not reproduce, distribute, make available to the public, sell, or transfer such materials to third parties without the prior written consent of ALLURE SRLS.<\/p>

    ART. 9 – <\/b>PERSONAL DATA PROCESSING<\/b><\/p>

    9.1 The Client\u2019s personal data shall be processed by ALLURE SRLS in compliance with Regulation (EU) 2016\/679 (\u201cGDPR\u201d) and the applicable Italian data protection legislation.<\/p>

    9.2. 9.2. Detailed information on data processing methods is provided in the Privacy Policy available on www.allureitalianexperience.com<\/i>, which the Client declares to have read prior to entering into the Agreement.<\/p>

    ART. 11 – <\/b>GOVERNING LAW AND JURISDICTION<\/b><\/p>

    11.1. 11.1. This Agreement shall be governed by Italian law.<\/p>

    11.2. 11.2.
